Terms and Conditions for Using the NineSmart System

Effective Date: January 10, 2025

Welcome to NineSmart System! These Terms and Conditions (“Terms”) govern the use of our NineSmart System, which includes, but is not limited to the Admin Panel, User App, Staff App, Kiosk, Controller, and Hardware (collectively referred to as “System”). By accessing or using the System, you agree to comply with these Terms. Please read them carefully.

1. Definitions

1.1. “NineSmart”: Refers to NineSmart Limited, the company that owns and operates the NineSmart System.

1.2. “NineSmart System”: An integrated smart property management solution designed to enhance property management efficiency and user convenience by offering features such as access control, booking, mailbox, lift integration, and more.

1.3. “NineSmart System and Application”: Refers to NineSmart System including but not limited to Smart Property App, Smart Access App, Smart Display App, Admin Management System, Staff App, Kiosk, Controller, User App, and other Hardware.

1.4. “Admin Panel”: A web-based interface designed for property administrators and managers to configure and manage system features.

1.5. “Mobile App”: The application designed for tenants, residents, and end-users to interact with the property’s features and services.

1.6. “User”: Refers to anyone who accesses or uses the System, which can be further subdivided into:

“End User”: Users who interact with the System through the User App.
“Admin User”: Users who manage and configure the System using the Admin Panel and Admin App.

1.7. “Content”: All data, information, and materials uploaded, shared, or otherwise made available through the System.

2. Acceptance of Terms

2.1. By registering for, accessing, or using the System, you acknowledge that you have read, understood, and agree to these Terms.

2.2. If you do not agree to these Terms, you may not access or use the System.

3. User Responsibilities

3.4. Data Input Compliance: All data input by Admin Users must comply with copyright laws and regulations. Personal data entered into the System should only be included after obtaining proper consent from the data subjects.

3.1. Account Security: Users are responsible for maintaining the confidentiality of their login credentials. Unauthorized access to the System should be reported immediately.

3.2. Compliance: Users must comply with all applicable laws and regulations while using the System.

3.3. Prohibited Activities: Users may not:

Use the System for unlawful purposes.
Upload or share harmful, offensive, or malicious content.
Attempt to gain unauthorized access to other user accounts or the System’s backend.

4. System Access and Availability

4.1. Ongoing Development: We continue to develop various features to refine and complete the functionality of the System.

4.2. We strive to provide uninterrupted access to the System but do not guarantee uptime or error-free operation.

4.3. We reserve the right to modify, suspend, or discontinue any part of the System without prior notice.

5. Data Privacy and Security

5.4. System Improvement: We will use data collected and analyze user behavior to refine our System and solutions in order to provide a better user experience.

5.1. Our use of personal data is governed by our Privacy Policy, which is incorporated by reference into these Terms.

5.2. Users must not misuse or share sensitive information obtained through the System.

5.3. While we implement industry-standard security measures, we cannot guarantee absolute data security.

6. Intellectual Property

6.1. All intellectual property rights related to the System, including but not limited to software, design, and content, are owned by NineSmart Limited (“NineSmart”).

6.2. Users are granted a non-exclusive, non-transferable license to use the System for its intended purpose.

6.3. Users may not modify, reproduce, or distribute any part of the System without prior written consent.

7. Limitations of Liability

7.1. To the extent permitted by law, we are not liable for:

Direct, indirect, or consequential damages arising from the use or inability to use the System.
Loss of data or unauthorized access to user accounts.

7.2. Our liability is limited to the extent of fees paid (if any) for accessing the System within the past 12 months.

8. Termination

8.1. We reserve the right to terminate or suspend user access to the System for violations of these Terms or any applicable law.

8.2. Users may terminate their accounts by providing written notice to NineSmart Limited (“NineSmart”).

8.3. Upon termination, access to the System and associated data may be permanently revoked.

9. Modifications to Terms

9.1. We may update these Terms from time to time. Updated Terms will be posted on the NineSmart website.

9.2. Continued use of the System after changes constitute acceptance of the updated Terms.

10. Governing Law and Dispute Resolution

10.1. These Terms are governed by the laws of Hong Kong Special Administrative Region, People’s Republic of China.

10.2. Disputes arising from these Terms will be resolved through negotiation or, if necessary, arbitration in Hong Kong Special Administrative Region, People’s Republic of China.
